David Glod, a shareholder at the firm, primarily handles complex civil litigation.

His practice includes contract and employment disputes, securities matters, and complex land title claims. He has particular experience with family and closely-held businesses in the context of breaches of fiduciary duty, and similar partnership disputes. He frequently represents real estate developers and landowners in matters involving the organization or dissolution of real estate partnerships, or those involving the use of land, such as boundary disputes.

David also has extensive experience with securities regulation, including representing clients before FINRA, the SEC, the Massachusetts Securities Division, and other regulators. He also handles disputes between registered firms and their personnel, such as claims before FINRA seeking expungement of information from regulatory filings.

David has won jury trials in the state and federal courts, and proceedings before various regulatory bodies. He is also successful in helping clients resolve disputes short of trial, through informal negotiation, mediation or other forms of dispute resolution.

David was born in Poland and speaks fluent Polish.

Representative Matters

Litigation

  • Obtained $1.2 million jury verdict in favor of minority owner of closely-held family business, on breach of fiduciary duty and contract claims.
  • Obtained $500,000 award in real estate partition matter and contract dispute between co-owners of shopping plaza. Also successfully defended an appeal of the award.
  • Prevailed on behalf of local real estate developer in suit to recover deposit paid on a $2.6 million purchase transaction.
  • Prevailed on behalf of homeowner in suit to prevent neighbor from expanding and paving an access easement.
  • Represented private utility company in class action brought by consumers for alleged improper response to emergency.
  • Appeared before the Massachusetts Supreme Judicial Court in Bevilacqua v. Rodriguez, 460 Mass. 762 (2011), representing a homeowner with a title defect arising from the landmark ruling in U.S. Bank v. Ibanez (2011). David continues to represent homeowners and lenders whose titles are jeopardized in the aftermath of Ibanez and its progeny.

Transactional

  • Regularly advises startups and small businesses in matters including entity formation, structuring, governance and financing.
  • Regularly counsels investment advisers and broker-dealers in registration and compliance matters, including enforcement proceedings. The firm’s adviser clients collectively manage over $5.5 billion in assets on a discretionary basis.
