Joseph
F. Sullivan, Jr., a member/shareholder and former President and Chief
Executive Officer of the firm (1995-2005), concentrates his practice on
corporate securities, commercial and financial matters. He is an honors
graduate of both Boston College Law School (J.D.) (Law Review; Order of
the Coif) and Brown University (A.B.). His practice embraces all
aspects of the organization and operation of corporations, limited
liability companies and other business entities, securities law
(including private placements and public offerings), corporate finance,
mergers, and acquisitions, contracts and commercial real estate. He
acts as counsel and overall transaction advisor in connection with
public offerings, venture capital and other private placements, mergers
and acquisitions, corporate reorganizations, recapitalizations, joint
ventures, strategic alliances, divestitures, intellectual property and
commercial real estate transfers and other complex commercial
transactions. He represents firms, investors and entrepreneurs in
numerous businesses including venture capital, computer software,
informational services, marketing, commercial real estate and
manufacturing. He has served as secretary and/or director of a number
of public and private companies. Mr. Sullivan is a member of the
American and Massachusetts Bar Associations, the Business Section of
the ABA and the Massachusetts Interactive Media Council (MIMC). He has
two children and lives in Kittery Point, Maine, with his wife Katherine.
