Thomas H. Bilodeau, III, is a Managing Director and member/shareholder of the firm. Tom is also Chair of the firm’s Investment Management and Private Funds Practice Group.
Tom concentrates on business, commercial, investment management and securities law. Tom’s diverse practice includes all aspects of the organization and operation of corporations, limited liability companies, general and limited partnerships and other business entities, mergers and acquisitions, joint ventures, the organization and operation of investment advisers, hedge funds, commodities funds and other private funds, and related regulatory and compliance matters.
Tom also handles all manner of contracts, secured transactions, and public and private financings.
Tom, his wife Kelly, and their three children, live in Hingham, Massachusetts.

Representative Matters

Serve as outside general counsel to numerous small to mid-size privately-held companies (C corporations, S corporations and limited liability companies) advising on all manner of organizational, contract, shareholder, compensation and employee matters, debt, equity and bank financings, licensing, mergers and acquisitions, and other customary legal matters.

Over twenty years’ M&A experience representing buyers and sellers in all forms of taxable and tax-free mergers, acquisitions, and divestitures.

Represent sponsors in structuring, organizing and operating onshore and offshore private investment funds including hedge funds, commodity pools, real estate funds, private equity and venture capital funds.

Regularly represent investment advisers and broker-dealers in registration, compliance and enforcement matters under applicable state and Federal law. Current adviser clients manage an aggregate portfolio of over $10 Billion in assets on a discretionary basis.

Represented real estate developer in various acquisitions and dispositions of $100 Million+ aggregate student housing portfolios including, among other things, advising on structure of management company, RE funds, the organization and structure of acquisition companies, and negotiating and closing equity and bank financings.

Represent leading health technology startup in corporate matters, complex equity and equity-linked compensation, licensing, commercialization, strategic partnerships and related contracting, among other customary legal matters.

Represented pioneering alternative trading brokerage firm in $50 Million sale to Fortune 500 company.

Serves on the board of directors of several public and private companies.
