Thomas H. Bilodeau, III, is a Managing Director and member/shareholder of the firm.  Tom also serves as chair of the firm’s Investment Management and Private Funds practice. Tom concentrates on corporate, commercial, and securities law. Tom’s diverse practice includes all aspects of the organization and operation of corporations, limited liability companies, general and limited partnerships and other business entities, mergers and acquisitions, joint ventures, the organization and operation of investment advisers, hedge funds and commodities funds and related regulatory and compliance matters, contracts, secured transactions, and public and private financings. Tom and his wife, Kelly, and their three children live in Hingham, Massachusetts.

Representative Matters

Currently serve on the board of directors of several public and private companies.

Serve as outside general counsel to numerous small to mid-size privately-held companies (C corporations, S corporations and limited liability companies) advising on all manner of organizational, contract, shareholder, compensation and employee matters, debt, equity and bank financings, licensing, mergers and acquisitions, and other customary legal matters.

Represented real estate developer in acquisition of $20 Million student housing portfolio including, among other things, advising on structure of management company, the organization and structure of the acquisition company, and negotiating and closing equity and bank financings.

Represent leading private multinational solar PV developer/IPP advising on all manner of corporate and holding company structures, strategic partnerships, project development and related contracting, and debt, equity and bank financing matters, among other customary legal matters.

Represent sponsors in structuring, organizing and operating onshore and offshore private investment funds including hedge funds, commodity pools, real estate funds, private equity and venture capital funds.

Regularly represent investment advisers and broker-dealers in registration and compliance matters under applicable state and Federal law. Current adviser clients manage an aggregate portfolio of over $8 Billion in assets on a discretionary basis.

Represented leading electronic brokerage firm in $50 Million sale to Fortune 500 company.
